Terms of Service

1. Acceptance of Terms

By accessing or using Supply Router ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Platform.

2. Description of Service

Supply Router is a procurement automation platform for the fastener and industrial supply industry. The Platform provides tools for supplier discovery, RFQ routing, purchase order management, mill cert tracking, compliance workflows, and vendor-managed inventory support. We connect buyers and suppliers but are not a party to transactions between them.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorized use of your account
  • You must be at least 18 years old to create an account

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Submit false, misleading, or fraudulent information including RFQs, supplier capabilities, or certifications
  • Attempt to gain unauthorized access to other accounts or Platform systems
  • Interfere with or disrupt the Platform or its infrastructure
  • Scrape, crawl, or use automated means to extract data from the Platform without permission
  • Upload malicious code or content
  • Circumvent any access controls or usage limits

5. Procurement Data and Content

You retain ownership of the data you submit to the Platform, including purchase orders, RFQs, supplier information, and mill certifications. By using the Platform, you grant Supply Router a limited license to use this data to:

  • Operate and improve the Platform
  • Route RFQs to qualified suppliers based on specifications
  • Generate anonymized and aggregated analytics
  • Provide compliance and traceability features

You are responsible for ensuring the accuracy of data you submit, including material certifications, country-of-origin declarations, and compliance documentation.

6. Transactions Between Users

Supply Router facilitates connections between buyers and suppliers but is not a party to any purchase agreement, supply contract, or transaction between users. We do not guarantee the quality, safety, legality, or availability of any products or services listed or discussed on the Platform. Disputes between buyers and suppliers are between those parties.

7. Fees and Payment

Certain features of the Platform require a paid subscription. Fees are described on our pricing page. We may change pricing with 30 days' notice. Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

8. Intellectual Property

The Platform, including its design, features, code, and content (excluding user-submitted data), is owned by Supply Router and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLY ROUTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Supply Router, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. We will make your data available for export for 30 days following termination.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or Platform notification. Continued use after changes take effect constitutes acceptance of the revised Terms.
